Vice President, General Counsel

This position is posted by Jobgether on behalf of Nonprofit Finance Fund. We are currently looking for a Vice President, General Counsel in Massachusetts, New York, or Pennsylvania (USA).

This senior leadership role provides strategic legal guidance and oversight for an organization dedicated to strengthening nonprofits and advancing social good. You will lead the legal function across enterprise, governance, and lending operations, ensuring compliance with federal and state regulations while enabling innovation in nonprofit finance. The position offers the chance to shape policies, manage complex transactions, and advise on mission-critical initiatives. You will work collaboratively with executive leadership and internal teams, supervise internal staff and external counsel, and contribute to organizational strategy while supporting a high-performing and values-driven environment. This role balances independent decision-making with a collaborative approach to legal leadership in a dynamic, national organization.

Accountabilities:

  • Oversee all legal aspects of nonprofit lending and financing operations, including loan documentation, compliance, and structuring transactions.
  • Draft, review, and negotiate contracts, loan documents, loan modifications, guaranty agreements, and other funding-related documents.
  • Provide counsel on regulatory compliance, CDFI rules, and lending laws, monitoring changes in federal and state requirements.
  • Manage external legal counsel for litigation, claims, and complex transactions, ensuring alignment with organizational goals.
  • Collaborate with executive leadership to develop and implement internal policies mitigating legal risks.
  • Supervise internal legal team members and support their professional development and performance objectives.
  • Advise on corporate governance matters, including board resolutions, bylaws, and other enterprise-level legal issues.
  • Support organizational strategy and mission through legal guidance and thought leadership across departments.
  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice law in the U.S.; New York State bar admittance preferred (or ability to obtain within 6 months).
  • 10+ years of legal experience, ideally in or working with CDFIs, commercial lending, or real estate lending.
  • Strong knowledge of lending laws, CDFI regulatory frameworks, and nonprofit finance compliance.
  • Demonstrated leadership, negotiation, and communication skills.
  • Excellent written, oral, and interpersonal communication abilities.
  • Ability to analyze and resolve complex legal issues independently.
  • Strong organizational, time-management, and client-service orientation.
  • Advanced proficiency with Microsoft Office Suite; familiarity with Salesforce preferred.
  • Experience with New Markets Tax Credit investments, construction lending, and emerging programs is a plus.
  • Knowledge of tax-exempt organizational law and LLCs is beneficial.
  • Competitive salary range: $190,000 - $210,000, determined based on experience and internal equity.
  • Up to 18 paid holidays plus 3 floating holidays and unlimited vacation time.
