The New York City Housing Authority (NYCHA), the largest public housing authority in North America, was created in 1935 to provide decent, affordable housing for low- and moderate-income New Yorkers. NYCHA is home to 1 in 17 New Yorkers, providing affordable housing to 528,105 authorized residents through public housing and Permanent Affordability Commitment Together (PACT) programs as well as Section 8 housing. The Corporate Secretary reports to the Special Advisor for Corporate Governance and Audit.
Responsibilities include, but are not limited to, the following:
- Direct professional and administrative staff in several fast-paced extremely deadline-driven departments within the Office of the Corporate Secretary ensuring compliance with all applicable laws, rules and internal policies: Calendar and Documents Unit and Board Logistics Unit.
- Review and finalize all Board materials in preparation for Board Meetings.
- Preside over all Board Meetings.
- Execute all Board Member-related logistics including, but not limited to, providing timely materials to the Board in preparation for Board Meetings, coordinating briefings for Board, managing correspondence/inquiries to Board, facilitating internal Board communications, managing Board Member calendars and onboarding of new Board Members.
- Ensure proper planning, preparation and execution of Board Meetings in compliance with Open Meetings Law including, but not limited to:
o Establish the yearly calendar of Board Meetings and provide adequate public notice.
o Ensure the timely preparation and accuracy of Board Calendar, Board Resolutions, and reports including reviewing submissions, assisting departments with submissions and finalizing Board Calendar.
o Attend Board Meetings and ensuring accuracy in drafting and issuance of Board Minutes.
- Ensure maintenance of accurate related records.
- Monitor corporate governance developments and implement them accordingly to ensure compliance.
- Coordination with the Special Advisor for Corporate Governance and Audit, serving as an advisor to the Board Members, as well as a liaison to the Executive Team and external stakeholders.
- Manage personnel matters and annual departmental budget.
- Consistently reviewing department processes to improve operational effectiveness.
- Assist with special projects, representing the office on designated committees/initiatives, and performing other related duties, as required.
