The New York City Housing Authority (NYCHA), the largest public housing authority in North America, was created in 1935 to provide decent, affordable housing for low- and moderate-income New Yorkers. The Office of the Corporate Secretary (OTCS) reports to the Special Advisor for Corporate Governance and Audit and is charged with the direct supervision of administrative staff in several fast-paced extremely deadline-driven departments, including the Calendar and Documents Unit and the Board Logistics Unit.
This position serves as Assistant Corporate Secretary. Generally, the Assistant Corporate Secretary will assist the Corporate Secretary (CS) with responsibilities including, but not limited to the following:
- Providing supervision of all staff including support of substantive work product for the Units within the OTCS.
- Assisting the CS in monitoring and handling all administrative matters pertaining to Units within the OTCS.
- Assisting in reviewing and finalizing all Board materials in preparation for Board Meetings.
- Assisting in proper planning, preparation and execution of Board Meetings in compliance with Open Meetings Law.
- Assisting in the preparation and review/update of periodic reports and statistics.
- Monitoring and handling personnel and budget-related matters.
- Serving as the OTCS’s liaison on various committees and/or initiatives.
- Managing special projects and performing other related duties or assist in other areas within the OTCS, as required.
Specifically, the Assistant Corporate Secretary may:
- Guide, supervise and/or review work of support staff to ensure completeness and compliance with agency policy and professional standards.
- Assist in drafting proposed rules and regulations for the OTCS.
- Assist in training and supervising the activities of subordinate staff.
- Perform the duties of the CS in the temporary absence of the CS and/or the Special Advisor for Corporate Governance and Audit.
- Act as liaison with NYCHA executive teams and business units and with external stakeholders in the absence of the CS and/or the Special Advisor for Corporate Governance and Audit.
- Assist in monitoring the workflow in the OTCS, ensuring compliance with deadlines, and preparing reports and summaries for, inter alia, Board Meetings and other meetings.
- Assist in researching/analyzing issues related to corporate governance requirements to determine which legal and/or other questions require more legal analysis/review and refer same with appropriate memoranda to the CS.
- Assist in the monitoring of corporate governance developments to implement accordingly to ensure compliance (e.g., NYS Open Meetings Law, Public Officers Law, etc.).
- Review and prepare OTCS documents to be disclosed (by the Law Dept.) under the Freedom of information Law.
