- Strong legal writing, analysis, and communication skills
- Experience coordinating with external counsel and tax advisors
- Ability to translate complex legal issues into practical guidance
- California bar admission (or willingness to relocate and sit for CA bar)
Responsibilities
- Lead legal review and analysis of LPAs, PPMs, subscription agreements, and related fund documentation for public and private fund investments
- Draft legal issue memos and advise investment professionals on entity-specific and regulatory implications
- Negotiate fund terms and tailor side letters for taxable and tax-exempt investor requirements
- Coordinate with tax advisors and in-house tax-exempt specialists to ensure regulatory compliance and incorporate tax considerations
- Advise on NDAs, IMAs, AML/KYC, and other investment-related agreements and disclosure obligations
- Manage post-investment obligations including MFN rights, amendments, and consent processes
- Monitor legal, tax, and policy developments affecting philanthropic, tax-exempt, and taxable investors
- Develop and maintain internal templates, playbooks, and documentation to streamline investment legal review
Education
- Juris Doctor (JD) from an accredited law school
- Active California bar membership or willingness to obtain admission
