Responsibilities
- Manage global subsidiary governance, entity management, and international expansion.
- Draft and review SEC filings including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Support corporate governance including preparation of board materials, resolutions, and minutes.
- Assist investor relations and quarterly earnings process ensuring Regulation FD compliance.
- Administer equity plans, insider trading policies, and Rule 10b5-1 trading plans.
- Support treasury and tax matters including credit facilities and stock repurchase plans.
- Drive continuous improvements in corporate legal processes and execution.
Education
- J.D. from an ABA accredited law school or foreign equivalent.
- Membership in at least one U.S. State Bar in good standing.
