Qualified is seeking a motivated and detail-oriented Associate Commercial Counsel to join our growing Legal team. The ideal candidate will have strong contract negotiation skills, a solid understanding of commercial law, and the ability to work collaboratively with internal stakeholders across multiple functions. As an Associate Commercial Counsel, you will work closely with our sales team on commercial transactions and support the company’s overall legal needs. The successful candidate will also be comfortable negotiating agreements independently while remaining responsive to internal clients and managing external expectations.

Responsibilities:

  • Negotiate customer agreements to facilitate efficient commercial transactions.

  • Draft and update contract templates to align with current business requirements and regulatory standards.

  • Review and negotiate vendor agreements to mitigate risk and align with internal policies.

  • Support contract lifecycle management as needed.

  • Support General Counsel in managing corporate governance and compliance matters.

Qualifications:

  • JD and membership in at least one US state bar.

  • 1-3 years legal experience as in-house counsel or at a law firm.

  • Experience with SaaS transactions and negotiating MSAs, subscription agreements, services agreements, etc.

  • Experience with global data protection laws and negotiating DPAs.

  • Excellent written and verbal communication skills with the ability to communicate complex legal concepts in a clear and concise manner.

  • Strong business acumen and an ability to understand and address legal issues from a commercial perspective.

  • Ability to work collaboratively with cross-functional teams and manage multiple priorities in a fast-paced environment.
