We are seeking an experienced transactions attorney to provide legal transactional support for Blackstone Infrastructure. In this role you will be responsible for leading and managing complex corporate transactions for Blackstone Infrastructure’s institutional and private wealth funds and portfolio companies, including public and private mergers, acquisitions, dispositions, joint ventures, minority equity investments, preferred equity investments, corporate financing, project financing, public-private partnerships and other similar transactions, as well as navigating ongoing compliance with applicable regulatory regimes. The ideal candidate will have a proven track record of navigating the intricacies of corporate law in a fast-paced, global environment, providing expert advice and support to our investment teams and portfolio companies.
Responsibilities:
Lead and manage complex legal transactions, including public and private mergers, acquisitions, dispositions, joint ventures, minority equity investments, preferred equity investments, corporate financing, project financing, public-private partnerships and other similar transactions, and coordinate with external counsel and internal stakeholders to ensure seamless execution.
Draft, review, and/or negotiate a wide range of transactional documents, including bid letters, term sheets, acquisition agreements, equity commitment letters and other definitive agreements.
Advise on transaction-related legal, structuring and regulatory matters and ensure ongoing compliance with applicable laws and regulations (e.g., antitrust, foreign direct investment, financial regulatory, securities laws).
Liaise with finance, operations, tax, fund and compliance teams on a variety of matters throughout the investment cycle from diligence through closing and ongoing asset management activities.
Support investment, fundraising and corporate teams with limited partner, co-investor and consortium partner matters.
Coordinate with portfolio operations, public affairs, government relations and sustainability teams on critical and sensitive issues across the Blackstone Infrastructure portfolio.
Collaborate with portfolio companies to provide guidance on corporate governance, regulatory matters, risk management strategies, and compliance best practices.
Monitor and analyze regulatory developments and industry trends, including corporate governance, securities law, and market practice.
This position requires working in person for a minimum of four days per week; five days per week is preferred but not required.
Qualifications:
8+ years of legal experience in a law firm or corporate setting, with a focus on private equity; experience with infrastructure and international investments preferred but not required.
Comprehensive understanding of the legal and regulatory landscape affecting private equity and portfolio companies; understanding of impact on infrastructure assets preferred but not required.
Strong judgement and excellent negotiation, communication, and interpersonal skills; effectively manages senior stakeholder relationships and provides clear, risk-adjusted commercial advice on complex legal and business issues.
Strong strategic thinking skills, works independently and proactively, and manages multiple projects simultaneously in a fast-paced environment.
Juris Doctor (JD) degree from an accredited law school.
Admission to the New York State bar.

Expected annual base salary range:
$225,000 - $275,000Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables.
Additional compensation and benefits offered in connection with the role consist of comprehensive health benefits, including but not limited to medical, dental, vision, and FSA benefits; paid time off; life insurance; 401(k) plan; and discretionary bonuses. Certain employees may also be eligible for equity and other incentive compensation at Blackstone’s sole discretion.
