PPFA and Action Fund seek an Assistant General Counsel, Contracts. This job reports to the Deputy General Counsel in the Office of the General Counsel (OGC) in the Legal Division. OGC provides legal advice and related services in areas including legal compliance, risk management, litigation, and all aspects of business law.
Purpose:
This position supports drafting of grants and contracts within the National Office and ensures compliance with policies and processes, working with other departments, vendors and stakeholders, as necessary. The Assistant General Counsel, Contracts will provide top-notch legal support and organizational support to meet the needs of the various departments in the National Office, and serve as the lead attorney for the Grants Management and Procurement Teams.
Engagement:
The Assistant General Counsel, Contracts will engage with executive leadership and staff, and stakeholders across all levels of the National Office to build collaborative and effective partnerships.
Delivery:
Detail-oriented, desk-based, ongoing tasks such as:
●Draft and review contracts, agreements, grants, sponsorships, commercial co-ventures, intellectual property licenses, and related legal documents,
●Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising and negotiating business agreements
●Create and update contract templates
●Coordinate with the Contract Administration team in Finance to provide legal assistance on contract administration
●Work with internal legal staff and outside counsel to ensure the National Office is conducting business safely
●Implement OGC initiatives, including education and enforcement of compliance with organizational policies, as well as state/federal regulations and industry standards
●Interact with organizational clients, stakeholders, and business partners
●Adapt to changing demands and shifting priorities, always with a view to delivering first-rate legal advice and services
●Other matters and duties, as assigned, with regard to any other aspects of the National Office’s transactional, litigation, practice management and other legal affairs
Knowledge, Skills and Abilities (KSAs):
●Juris Doctor (JD) from an ABA-accredited law school
●Bar Admission: Eligible to practice in New York or Washington, DC
●At least four years of legal experience, including substantial amounts of counseling, drafting and negotiation in commercial transactions and other related areas of practice
●Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising and negotiating business agreements
●Familiarity with, and stylistic affinity for, the ABA Manual of Style for Contract Drafting strongly preferred
●Exceptional research, analytical, and problem-solving skills, with the ability to think strategically and creatively about legal and business issues
●Ability to provide sound business advice as well as first-rate legal counsel to business partners at all levels, including executive team and senior leaders
●Excellent interpersonal skills and ability to positively and successfully manage relationships with a diverse group of stakeholders across organizational lines
●Ability to develop strong collaborative relationships with fellow attorneys, staff, and clients
●Demonstrated ability to exercise agility, adaptability, and practicality in providing legal advice.
●Excellent judgment and proven experience in analyzing risks and making risk determinations
●Demonstrated ability to excel under pressure in a fast-paced, highly innovative, and rapidly changing environment while maintaining and developing strong collaborative relationships with teams.
●Sound command of the law of contracts
●Experience in reviewing and drafting grant agreements preferred
●General knowledge of other legal frameworks applicable to the National Office, including the federal law of tax exemption and operations under state nonprofit corporations laws
●Ability to work independently and prioritize without direction
