Corporate Counsel
Skills
- Active JD and bar membership in good standing
- 3–5 years of legal experience with significant focus on commercial contracts, preferably at SaaS/tech/startup companies
- Strong contract drafting and negotiation skills with commercial judgment
- Experience supporting sales/revenue organizations and accelerating deal cycles
- Familiarity with data privacy, security considerations, and enterprise software licensing
- Comfortable working autonomously, prioritizing multiple streams, and building processes
Responsibilities
- Lead negotiation, drafting, and management of customer agreements, vendor contracts, NDAs, partnership agreements, and other commercial contracts
- Partner with Sales, Customer Success, and Revenue teams to accelerate deal cycles while managing legal risk
- Review and negotiate SaaS, professional services, and vendor procurement agreements
- Create scalable contract templates, playbooks, and processes to enable rapid, compliant transactions
- Advise Product & Engineering, Marketing, HR, and Finance on commercial, data privacy, security, and operational legal issues
- Coordinate with outside General Counsel and external law firms on governance, equity administration, IP, employment, and strategic matters
- Identify legal and compliance risks, develop mitigation strategies, and ensure adherence to applicable regulations (e.g., data privacy, security)
- Support fundraising, due diligence, and special strategic projects as needed
Education
- JD from an accredited law school
- Active bar membership in good standing
