Job Description

This position serves as a shared resource within the Office of General Counsel and reports jointly to the Chief Business Litigation and Operations Counsel and the Chief Transactions and Regulatory Counsel. The role is designed to support both practice groups, reflecting the Office of the General Counsel’s strategic objective to build cross-functional capacity and cultivate legal talent with a broad skill set.  The attorney will assist in the full range of responsibilities overseen by both Chiefs, including—but not limited to—litigation management, operational legal support, regulatory matters, corporate transactions, and contract review.  The attorney will be responsible for providing timely, practical, and solution-oriented legal counsel to corporate officers, management, and employees across the System and its subsidiaries and affiliates.  This is a dynamic role that offers the opportunity to contribute to a diverse portfolio of legal matters while working collaboratively across legal teams and business units.

Principal Responsibilities and Tasks

The following statements are intended to describe the general nature and level of work being performed by people assigned to this classification.  This is not to be construed as an exhaustive list of all job duties performed by personnel so classified. Specific responsibilities may vary based on expertise and specialty of the individual (e.g., regulatory, operations, contracting, transactions).

  1. Cross-functional responsibilities two of the practice groups within the Office of General Counsel (Transactions & Regulatory and Business Litigation & Operations), including, but not limited to, taking-on assignments from attorneys within each group.
  2. Contract work, including, but not limited to: drafting/reviewing provider contracts, physician arrangements, managed care agreements, vendor contracts, licensing agreements, leases, recruiting and placement contracts, and consulting agreements;
  3. Providing advice to managers and employees on operational issues including, but not limited to: quality of care, informed consent, termination of care, continuity of care, regulatory compliance, medical staff issues, and human resource concerns;
  4. Assist Business Litigation & Operation team attorneys with preparing for hearings, mediations, arbitrations and other similar proceedings.
  5. Assist with the monitoring and timely completion of required corporate filings;
  6. Corporate compliance support, including participating in internal investigations and interpreting applicable law;
  7. Draft and review a wide range of legal/contractual documents, including, but not limited to, leases, licenses, purchase and sales agreements, non-disclosure agreements and contracts;
  8. In collaboration with transaction team attorneys, participate in due diligence related activities in connection with mergers and acquisitions;
  9. Regulatory work, including, but not limited to, researching and interpreting federal and state laws, regulations, interpretive guidelines, and case law related to corporate legal and health care issues;
  10. Assist Business Litigation & Operation team attorneys with guardianship petitions filed in connection with Medical System patients
  11. Developing, reviewing and/or revising corporate policies and procedures;
  12. Performing research and advising regarding credentialing, peer review, and network provider issues;
  13. Reviewing, evaluating, and rendering legal determinations concerning internal programs or projects, including the implementation of federal and state legal and accreditation requirements;
  14. Reviewing inquiries/complaints from federal and state agencies, coordinating, drafting, and negotiating the response; and
  15. Conduct legal research and prepare written opinions based on that research;
  16. Research, prepare and provide timely updates to various legal training courses to Medical System employees and contractors;
  17. Other duties as assigned.

Scope of Position

 

  1. The responsibilities of this position require the individual to research, analyze, evaluate, interpret and resolve issues and problems. Further, the individual will guide and advise corporate officers and managers to ensure they are fully aware of the legal ramifications of their actions and decisions.

 

  1. The individual in this position must remain current with legal issues affecting the System and the health care industry.

 

  1. The individual acts within corporate policies and guidelines and according to the tenets of behavior of the legal profession.

Education and Experience

  1. Juris Doctor Degree from an accredited law school.
  2. Admission to the Bar of at least one state or the District of Columbia, Maryland Bar preferred.
  3. 2-3 years of progressively responsible experience as a practicing health care attorney. 

Knowledge, Skills and Abilities

  1. Working knowledge of health care-related legal issues and players, including, but not limited to: Fraud and abuse laws, including the Stark Law, Anti-Kickback Statute, and False Claims Act; HIPAA Privacy and Security requirements; Provider licensing and hospital accreditation requirements; and Federal and state program structure and requirements, including Medicare and Medicare.
  2. Proven organizational skills.
  3. Ability to provide advice regarding legal requirements in specific contexts while supporting the pursuit of operational objectives.
  4. Highly effective verbal and written communication skills that enable the individual to successfully engage with medical staff, residents, executive staff, other management personnel at all levels, regulators, the media, other attorneys and the community.

Qualifications

  • Juris Doctor Degree from an accredited law school.
  • Admission to the Bar of at least one state or the District of Columbia, Maryland Bar preferred.
  • 2-3 years of progressively responsible experience as a practicing health care attorney. 
  • At least 5 years of experience as a litigator, with a focus on healthcare and regulatory matters preferred

Pay Range: $57.13- $85.75
